UrbanSeeder Ltd. (hereinafter: "UrbanSeeder", "we", "us") provides its users with the Services (as shall be defined below) for entertainment purposes. In addition, parties other than UrbanSeeder, may provide information, software, and other content, which may be accessed through this site. These Terms of Use are intended to make the online information usage and communications a positive and secure experience for all users of this site.
Acceptance of Terms of Use
By visiting this site and/or using any Service you are accepting all the terms and conditions described herein. Please read the following terms and conditions carefully, as they form the agreement between us. If you do not agree to these terms and conditions, you may not use the Service and should not proceed to register. The Services
UrbanSeeder currently provides users social connection services (the "Service(s)"). Unless explicitly stated otherwise, any new feature(s) that augments or enhances the current Services will be subject to these Terms of Use.
UrbanSeeder may alter, suspend or discontinue any Service and/or any aspect of Service at any time, including the availability of any feature, database or content. UrbanSeeder may also impose limits on certain features and aspects of the Service or restrict your access to parts or all of the Service, all without notice or liability. We reserve the right to inform you of any such changes or additions to the Service.
UrbanSeeder may alter, suspend or discontinue any Service and/or any aspect of Service at any time, including the availability of any feature, database or content. UrbanSeeder may also impose limits on certain features and aspects of the Service or restrict your access to parts or all of the Service, all without notice or liability. We reserve the right to inform you of any such changes or additions to the Service.
Personal Use
Unless otherwise expressly specified, this site is for your personal and non-commercial use only. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes any portion of the Service, use of the Service, or access to the Service.
Your personal information is subject to our Privacy Policy, which you should read in its entirety. The Privacy Policy, forms an integral part of these Terms of Use. Personal information collected by us may be stored and processed in Israel or any other country in which we or our agents maintain facilities. By using our Services, you consent to any such transfer of information outside of your country.
You confirm and acknowledge that we cannot ensure the security or privacy of information you provide through this site, and you release us from any and all liability in connection with the use of such information by other parties; therefore you should use caution in selecting the personal information you post or provide to others through the Service;
You may not use the Service for any unlawful purpose and/or immoral, or irrelevant material, idle data (spam and the like) and incorrect data. We may refuse to grant you an ID or nickname that impersonates someone else, is protected by trademark or other proprietary law, or is vulgar or otherwise offensive, as determined by us upon our sole discretion.
You acknowledge that UrbanSeeder may establish general practices and limits concerning use of the Service, including without limitation the maximum number of days that messages, or other uploaded content will be retained by the Service. You agree that UrbanSeeder has no responsibility or liability for the deletion or failure to store any messages and other communications or other content maintained or transmitted by the Service. You acknowledge that UrbanSeeder reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that UrbanSeeder reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

Registration Information
You agree and undertake that any information you provide us for registration purposes shall be true, accurate, updated and complete information about yourself. If you provide any information that is untrue, inaccurate, not current or incomplete, or UrbanSeeder has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, UrbanSeeder has the right to suspend or terminate or refuse any and all current or future use of the Service or any portion thereof.
Adult
You represent, warrant and covenant that you are at least 13 years old.
Monitoring and Removal of Information
We reserve the right to monitor all contents uploaded to this site or transmitted through the Services to ensure that they conform to the content guidelines set forth is these Terms of Use, as may be amended from time to time.
While we do not review every message or other material posted or sent by users of the Service, and are not responsible for any content of these messages or materials, we reserve the right, but are not obligated (subject to any applicable law), to delete, move, or edit messages or materials, that we, upon our sole discretion, deem to violate the Code of Conduct set forth below or any other provision of these Terms of Use. You shall remain solely responsible for any content you may upload to the Service or users of the Service.
While we do not review every message or other material posted or sent by users of the Service, and are not responsible for any content of these messages or materials, we reserve the right, but are not obligated (subject to any applicable law), to delete, move, or edit messages or materials, that we, upon our sole discretion, deem to violate the Code of Conduct set forth below or any other provision of these Terms of Use. You shall remain solely responsible for any content you may upload to the Service or users of the Service.
Code of Conduct
You agree to use the Service in accordance with the following Code of Conduct:
(a) You will keep all information provided to you through the Service private and confidential and will not use the Service to infringe the privacy rights, property rights, or any other rights of any person and will not transfer such information to anyone without the permission of the person who provided it to you; and
(b) You will not use the Service to engage in any form of harassment or offensive behavior, posting of communications, pictures, videos or audio recordings which contain libelous, slanderous, abusive or defamatory statements, or racist, pornographic, obscene, or offensive language or images; and
(c) You will not use the Service to infringe the privacy rights, property rights, or use the Service in any way which (i) violates, plagiarizes or infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; or (ii) is fraudulent, misleading or otherwise unlawful, threatening, abusive, harassing, defamatory, obscene, libelous, invasive of another's privacy, hateful, racially, ethnically insightful or violates any law; and
(d) You will not use the Service to distribute, promote or otherwise publish any material containing any solicitation for contribution, advertising or solicitation for goods or services, without our written consent and will not upload, post, e-mail or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; and
(e) You will not use the Service to distribute or up load any software viruses, Trojan horses, any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or do anything else that might cause harm to the Service, UrbanSeeder’s systems or to other users’ systems in any way; and
(f) You will not harm or attempt to harm minors in any way, or "stalk" or otherwise harass another persom;
(g) You will not collect or store personal data about other users or harvest or otherwise collect information about others, including e-mail addresses, without their explicit consent.
Failure to comply with this Rules of Conduct may result in deletion of the offending content without prior notice and/or termination of your use of the Service.

Responsibility for Content
We cannot assume any responsibility for any content sent by other users of the Service, and you hereby release us from any and all liability in connection with the contents of any communications you may receive from other users, and agree that you must evaluate, and shall solely bear, all risks associated with use of any such content, including any reliance on the accuracy of such content. UrbanSeeder does not pre-screen or monitor or control the content accessible via the Service and, as such, does not guarantee the accuracy, integrity, quality or lawfulness of such content.
You hereby acknowledge and confirm that by using the Services you may be exposed to any content provided by other users which might be offensive, indecent, objectionable or even hateful or obscene. UrbanSeeder will not be liable in any way and under any circumstances whatsoever for any third party content, including but not limited to any errors or omissions in any such content, or for any loss or damage of any kind incurred as a result of the use of any content posted, e-mailed or otherwise transmitted via the Service.
You hereby acknowledge and confirm that by using the Services you may be exposed to any content provided by other users which might be offensive, indecent, objectionable or even hateful or obscene. UrbanSeeder will not be liable in any way and under any circumstances whatsoever for any third party content, including but not limited to any errors or omissions in any such content, or for any loss or damage of any kind incurred as a result of the use of any content posted, e-mailed or otherwise transmitted via the Service.
Fees and Payments
Access to our Service and use of selected features of our Service is currently free of charge.
We may, at our sole discretion, change this policy and begin charging for access to our Service and other features and services, and may, at our sole discretion, add, remove or change the features and Services we offer or the fees (including the amount or the type of fees) we charge at any time. If we introduce a new Service for which fees are applicable, we will publish the fees for that Service at the launch of the Service. If we impose new fees or change the fees for an existing Service, such new or revised fees shall automatically be effective thirty (30) days after they are initially posted on our site. Once fees and changes become effective you agree to pay all fees and charges specified and all applicable taxes for the Services provided and benefits received. We are not responsible for any charges or expenses you incur resulting from being billed by us in accordance with these Terms of Use (e.g., overdrawn accounts, exceeding account limits, etc.)
Account and Membership Categories
Users of the Service may become "Guests" or "Members" of the Service. Guests are allowed access to a minimal level of the Service's features. Members are users maintaining an account and provided with access to additional features of the Service that are not available to Guests.
In order to open and operate your account with us you will receive a password and account designation upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We will not be liable for any loss or damage arising from your failure to comply with your obligation to maintain your own security and privacy.

Advertisements
As consideration for using the Service, you agree and understand that we may present ads and other information to you. We will present you with relevant ads using a completely automated process that enables us to effectively target dynamically changing content. No human will read the content of your massages in order to target such advertisements or other information without your consent, and no massage’s content or other personally identifiable information will be provided to advertisers as part of the Service.
Termination of Access to Service
We may, with or without notice, in our sole discretion, terminate or suspend your access to all or any part of the Services at any time, for any reason, including, without limitation, breach of these Terms of Use, any fraudulent, abusive, or otherwise illegal activity, or any other activity that may otherwise affect the enjoyment of the Service or the Internet by others, and you may be referred to appropriate law enforcement agencies.
After a period of inactivity, we reserve the right to disable or terminate the availability of the Services to you.
You understand that discontinuation of the entire Service means the deletion of your account and all related information and files in your account. UrbanSeeder therefore strongly encourages you to keep copies of the content you post or upload to its site. UrbanSeeder will not return materials that were posted or uploaded to this site upon termination of the Services.
After a period of inactivity, we reserve the right to disable or terminate the availability of the Services to you.
You understand that discontinuation of the entire Service means the deletion of your account and all related information and files in your account. UrbanSeeder therefore strongly encourages you to keep copies of the content you post or upload to its site. Intellectual Property Rights
You acknowledge that UrbanSeeder owns all right, title and interest in and to the Service and any other contents of this site, including without limitation all intellectual property rights, which are protected by Israeli and international intellectual property laws. Information posted by us, our partners or users of the Service may be protected whether or not it is identified as proprietary to us or to them. You agree not to modify, copy, distribute or create derivative works from any such information in any manner whatsoever without having first received the express permission of the owner of such information. You also agree that you will not use any automated device, or manual process to monitor or copy any content from the Service. Such intellectual property rights include, inter alia, rights to (i) the Service developed and provided by UrbanSeeder; and (ii) all software associated with the Service.
UrbanSeeder does not claim any ownership in any of the content, including any text, data, information, images, photographs, music, sound, video, or other material, that you upload, transmit or store in your UrbanSeeder’s account. You confirm that you will have obtained full right, title, interest and permissions in and to any messages, pictures or recordings prior to posting to or otherwise distributing them through the Service.
UrbanSeeder does not claim any ownership in any of the content, including any text, data, information, images, photographs, music, sound, video, or other material, that you upload, transmit or store in your UrbanSeeder’s account. You confirm that you will have obtained full right, title, interest and permissions in and to any messages, pictures or recordings prior to posting to or otherwise distributing them through the Service.
Disclaimer of Warranties
You understand and agree that the Services provided "AS-IS" and that UrbanSeeder assumes no liability for any damages whatsoever, including, without limitation, for any special, indirect, consequential or incidental damages, including for the timeliness, deletion, miss-delivery or failure to store any user communications or personalization settings. Where permitted by law, you acknowledge that the Services are provided without any warranties of any kind whatsoever, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. You acknowledge that use of the Service is at your own risk.
The connection to the Internet and the equipment used for establishing such a connection and any charges or costs relating to your Internet Service Provider or telecommunications provider are under your sole responsibility and UrbanSeeder shall not bear any responsibility with respect thereof nor in the event of any delay or interruption to the Services or of the Services ceasing to be available, from any reason whatsoever.
Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You agree that UrbanSeeder will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.
The Service may from time to time contain links to other Internet sites. You acknowledge that UrbanSeeder is not responsible for, and have no liability as a result of, the availability of such links or their contents. We suggest that you review the terms of use and privacy statement of such sites prior to using them.
We make no warranty that the contents of this site are free from infection by viruses and/or any other harmful code, which has or may have contaminating or destructive properties. You shall be fully responsible for protecting your system from being infected by any such viruses.

Indemnification
You agree to indemnify and hold UrbanSeeder, and its subsidiaries, affiliates, officers, agents, partners, and employees, harmless from any claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, made by any third party due, to or arising out of, any content you submit, post or transmit through the Service, your use of the Service, your connection to the Service, your violation of these Terms of Use, or your violation of any rights of any other person or entity.
Assignment
Your rights under these Terms of Use or any other rights with respect to the Services cannot be assigned. UrbanSeeder has the right to assign any or all of its rights and duties under these Terms of Use or under any Service to any third party. At UrbanSeeder’s choice, if UrbanSeeder’s obligations hereunder are assumed by a third party, UrbanSeeder shall be relieved of any and all liability under this Agreement.
Waiver
The failure of UrbanSeeder to exercise or enforce any right or provision under these Terms of Use will not constitute a waiver of such right or provision.
Governing Law and Jurisdiction
These Terms of Use shall be governed by the laws of the State of Israel (excluding its choice of law rules). Any disagreement arising from or related to these Terms of Use shall be submitted to the competent courts in Tel Aviv - Jaffa only, to exclude the jurisdiction of any other court.
